LEADERSHIPFINANCE & LEGAL
Purpose. Performance. People. Joining CPP Investments means joining one of the world’s most admired and respected institutional investors to drive a single mandate: to deliver strong, sustainable returns for generations of Canadians. With a long-term horizon and global reach, we deploy capital at scale across public and private markets. Our size, stability, and disciplined investment philosophy allow us to pursue complex opportunities and build enduring partnerships worldwide. For our people, this means meaningful work with tangible impact, real opportunity, and collaboration with exceptional colleagues who value partnership and performance. Here, you’ll contribute to outcomes that matter alongside team members committed to excellence and shared success. The Role As Director, Legal, you will provide strategic legal advice on complex private markets transactions and asset management matters, supporting investment decisions across CPP Investments’ North American Real Assets strategies. Reporting to a Managing Director in Investment Legal, you will partner with senior leadership, investment teams and external counsel to navigate legal and regulatory considerations, manage risk and deliver practical, commercially informed solutions aligned with CPP Investments’ long-term investment mandate. The Team CPP Investments’ Legal Department provides strategic legal advice and guidance to support investment activities, manage legal and regulatory risks, and enable sound decision-making consistent with our Guiding Principles and investment mandate. As part of the global Investment Legal team, you will collaborate with senior lawyers across international offices, investment teams and partners throughout the organization. You will support North American Real Assets strategies while contributing to broader investment-related and departmental initiatives. The role may involve periodic travel. Accountabilities Lead legal advice on complex private markets transactions and asset management matters, including structuring, negotiations, governance, regulatory considerations and risk allocation. Partner with investment teams across North American Real Assets strategies to provide practical, commercially informed legal guidance. Advise on complex investment structures, including consortium and co-investment arrangements, fund and sponsor relationships, financing, control rights, downside protection and exit considerations. Engage and collaborate with external counsel on transactional, asset management and broader institutional legal matters. Provide strategic legal advice on investment-related projects with Group- or Department-level impacts. Anticipate, identify and manage legal and regulatory risks associated with evolving investment strategies, activities and regulatory requirements. Contribute to Legal Department and organization-wide initiatives, including policies, procedures, systems, training and cross-functional projects. What You Bring Qualification to practice law in Ontario or an equivalent common law jurisdiction, with 7+ years of post-qualification transactional legal experience at a major international law firm or within an in-house corporate or financial investor legal department. Significant international private markets transactional experience, with expertise in M&A, real assets, private equity or investment funds. Strong understanding of complex investment structures, governance, asset management and regulatory considerations, with the ability to evaluate interconnected legal and commercial risks. Sound legal and commercial judgment, including the ability to assess unfamiliar structures, distinguish material risks and provide practical recommendations in ambiguous situations. Strong communication and relationship-building skills, with experience advising senior stakeholders and constructively engaging external counsel. Ability to work independently, manage competing priorities and make informed decisions in a dynamic, time-sensitive environment. A collaborative approach, intellectual flexibility and a commitment to professional integrity, ethical conduct and CPP Investments’ high standards. You are motivated to contribute to something larger than yourself, approach complex challenges with rigor, and hold yourself to high standards in a collaborative, performance-driven environment. We provide colleagues with cutting-edge AI tools, dedicated learning time, and practical support to help them deliver with greater impact.
